今日，证监会网站挂出三张行政处罚决定书，其中一张显示，安徽华都苑置业有限公司董事长边炯因内幕交易摩恩电气股票，被证监会没收违法所得104.20万元，并罚款312.61万元。

摩恩电气4年前转型重组雷尚科技

事情腔洞还得从摩恩电气4年前的一次并购重组说起。

2013年10月，摩恩电气因电缆制造主业发展不好，其实际控制人问某鸿提出寻找其他行业资产装入上市公司。2014年四五月的一次股东大会上，在问某鸿的提议下，最终确定公司战略转型方向为重大资产重组手游公司。

2014年7月8日，问某鸿和雷尚科技CEO王某B第一次见面，初步沟通收购情况。随后，长城证券开始为摩恩电气设计收购方案、准备尽调清单，并多次向摩恩电气相关人员邮件发送收购相关文件资料。

2014年7月28日，问某鸿与王某B在摩恩电气公司草签了框架协议。2014年7月31日，双方中介机构长城证券和天信资本开始就并购重组事项进行现场尽调。

2014年8月13日，问某鸿赴雷尚科技商谈并购重组条件，双方就交易价格、方式等达成口头意向，并准备意向书草案。次日摩恩电气发布重大事项停牌公告，开市停牌。停牌后，立信会计师事务所、瑛明律师事务所等中介机构也陆续进场尽调。

2014年10月18日，长城证券结束现场尽调工作，由于立信会计师事务所对雷尚科技报表收入确认等方面存在疑问，摩恩电气决定终止并购重组雷尚科技项目。10月20日，摩恩电气公告终止筹划重大资产重组事项，即日复牌。

根据上述情况，证监会认定摩恩电气拟战略转型重大资产重组手游公司事项构成内幕信息。而此内幕信息敏感期为2014年7月8日至2014年8月14日，摩恩电气实际控制人问某鸿、董事长问某鑫、长城证券保荐代表人田某华、雷尚科技王某B等19人为内幕信息知情人。

处罚书显示，边炯与内幕信息知情人问某鸿关系密切，了解摩恩电气经营现状和经营想法，知悉摩恩电气电缆主营业务发展不佳，打算战略转型环保、文化、手游板块等方向。2013年，问某鸿跟同学打球没棚时，曾提到电缆行业也不好做，让同学推荐些医药、军工、环保、文化、手游板块的重组项目。

更绝的是，边炯熟悉问某鸿出差习惯和个性特点。基于其熟悉问某鸿“除了看项目一般不出差”的工作习惯，凭借电话、见面联系，可以判断出问某鸿所在地点、战略转型工作的阶段性方向和进展节奏。

此外，边炯与问某鸿还存在资金借贷关系。根据摩恩租赁财务账：2014年5月至10月，摩恩租赁与华都苑置业共发生1890万元借还款;2014年4月至8月，边炯内幕交易摩恩电气股票的资金来源“寿某苹”账户前后三次向摩恩租赁转出共1048万元;2014年5月，摩恩租赁打款2000万元到华都苑置业“郑某耀”账户，其中1000万后转入“赵某萱”账户，最终又转入“寿某苹”账户。经查，摩恩电气、摩恩租赁与华都苑置业并无业务往来。

边炯控制两个账户内幕交易摩恩电气

边炯内幕交易摩恩电气使用的是“刘某”账户和“边某洪”账户，均于2014年6月18日开立。据调查，两个账户的资金全部为边炯个人资金，资金调拨指令也由他本人下达。

据披露，“刘某”账户于2014年7月22日开始买入“摩恩电气”，当日累计买入52.21万股，累计买入金额362.16万元;10月20日，复牌首日卖出全部股票，卖出金额406.48万元，累计获利42.07万元。

“边某洪”账户则在2014年7月21日至22日，累计买入摩恩电气62.19万股，累计买入金额428.96万元。8月11日至10月20日，累计卖出全部股票，卖出金额493.80万元，累计获利62.14万元。

上述两个账户的资金全部来源于“寿某苹”账户。2014年7月17日，寿某苹分别向刘某、边某洪三方银行存管账户转入370万元、430万元，当天这些资金全部转入证券端。2014年10月21日，两个账户分别通过银证转账将证券端412.08万元、492.16万元转入对应三方银行存管账户，并于当天分别转入“赵某永”账户。

证监会认定，“刘某”和“边某洪”账户都是边炯在摩恩电气内幕交易敏感期内借用他人名义，集中突击开户，交易品种单一，由“从未交易”到“大量单一”买入，与平时交易习惯不同。

而资金进出时间、买卖时点与边炯和问某鸿联络接触时间、内幕信息形成、变化、公开时间基本一致，相关交易行为明显异常。据披露，7月18日，问某鸿和边炯在深圳见过面，打过一场高尔夫球。而摩恩电气正是7月17日与雷尚科技商谈，7月21日长城证券便向雷尚科技发送了尽调清单。

巧合的是，两个账户在7月17日完成资金调拨后，在7月21日和22日就首次买入“摩恩电气”。据问某鸿通讯记录显示，边炯在买入股票期间也与其存在通话和短信联系。10月20日摩恩电气复牌当日，两个账户全部清仓所持摩恩电气股票。

在2014年7月21日和22日边炯首次买入当天，摩恩电气的开盘价分别为6.86元/股和6.79元/股;在8月13日停牌前最后一个交易日，摩恩电气涨至8.41元/股(当日收盘价);此后并购重组失败复牌当日，其收盘价为8.02元/股，较边炯买入时上涨约18%。而边炯合计买入约114万股，耗资790万元左右，获利超百万元。
